    Agreement Overview

    These terms govern your use of Nodura's compliance monitoring services. We've written them to be clear and fair. The key points: you own your code, we provide the service as-is, and either party can terminate at any time. For the full details, read on.

    Acceptance of Terms

    By accessing or using Nodura's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our services. These terms apply to all users, including visitors, registered users, and paying customers.

    Description of Service

    Nodura provides real-time compliance monitoring for AI-generated code. Our service analyzes code against compliance frameworks (SOC 2, HIPAA, GDPR, PCI-DSS, and others) and provides violation alerts and remediation suggestions. We integrate with development tools via the Model Context Protocol (MCP), GitHub PR scanning, and IDE extensions.

    Use of AI and Large Language Models

    Our service integrates with various third-party AI and large language model providers. We select the most appropriate model for each analysis task and may change providers at our discretion. By using Nodura, you agree to comply with standard LLM usage policies, which prohibit activities such as illegal actions, generating harmful content, and violating privacy. We do not control the outputs of these AI models and are not responsible for their accuracy or completeness.

    Account Registration

    You must provide accurate, complete, and current information when creating an account. You are responsible for: • Maintaining the confidentiality of your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized access • Ensuring your use complies with applicable laws and regulations We reserve the right to suspend or terminate accounts that violate these terms.

    Acceptable Use

    You agree not to: • Use our services for any unlawful purpose • Attempt to gain unauthorized access to our systems • Interfere with or disrupt the integrity of our services • Reverse engineer, decompile, or disassemble our software • Use our services to develop competing products • Exceed rate limits or abuse API access • Share account credentials with unauthorized parties

    Intellectual Property

    Nodura and its licensors retain all rights, title, and interest in and to the service, including all intellectual property rights. You retain ownership of your code and data. By using our service, you grant us a limited license to process your code solely for the purpose of providing compliance analysis. We do not store or retain your source code.

    Payment Terms

    Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Failure to pay may result in service suspension. You are responsible for all applicable taxes.

    Service Level Agreement

    For paid plans, we target 99.9% uptime for our core services. Scheduled maintenance windows will be communicated in advance. Enterprise customers may negotiate custom SLA terms. Credits for downtime exceeding SLA commitments will be applied to future billing periods.

    GitHub and Third-Party Integrations

    Our service integrates with GitHub and other development platforms. By connecting your repositories, you authorize us to access repository content, pull requests, and metadata necessary to perform compliance analysis. You represent that you have the authority to grant this access for the repositories you connect. We access only the repositories you explicitly authorize and do not store repository content beyond the duration of analysis.

    Data Processing

    We process data in accordance with our Privacy Policy and applicable data protection laws. For customers subject to GDPR, CCPA, or similar regulations, we offer Data Processing Agreements upon request. We maintain SOC 2 Type II compliance and implement appropriate technical and organizational measures to protect your data.

    Limitation of Liability

    To the maximum extent permitted by law, Nodura shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim. This limitation applies regardless of the legal theory.

    Disclaimer of Warranties

    Our services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that our services will be uninterrupted, error-free, or that compliance analysis will detect all violations. AI-powered analysis may produce inaccuracies, false positives, or unexpected outputs. You are solely responsible for your own compliance decisions and should not rely on Nodura as your only compliance verification method.

    Indemnification

    You agree to indemnify and hold harmless Nodura and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services or violation of these terms.

    Termination

    Either party may terminate this agreement at any time with 30 days' notice. However, violating these Terms of Service may result in immediate account termination without prior notice or refund. Upon termination, your right to use our services ceases immediately. We will provide a reasonable period (typically 30 days) to export your data. You are responsible for retaining copies of any content before termination. Provisions that by their nature should survive termination will remain in effect.

    Modifications to Terms

    We may modify these terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of our services after changes become effective constitutes acceptance of the modified terms.

    Governing Law

    These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
